General Description of Program: This program will provide attendees with a comprehensive
overview of key federal and state considerations impacting merger and acquisition (M&A)
transactions. The session will begin with an overview of the tax diligence process and cover tax
structuring and modeling considerations in both corporate and partnership transactions. The
program will also highlight current M&A market trends. The program will also explore state tax
considerations and hot topics impacting M&A transactions including state nexus, gross receipts
tax, sales tax, and unclaimed property.
Office Entry/Parking Details: Parking is available within the Salesforce Tower, as well as via
surrounding street parking. The Deloitte office is located on the 42nd floor of the Salesforce
Tower.
