TEI's CTO Discussion Series - September 25, 2025 - Tax's Role in M&A — From Diligence to Closing

Join Len Teti and Arvind Ravichandran from Cravath, with moderator Jeff Hurok of Future Standard, for a strategic discussion on the critical role of tax professionals in M&A transactions. This session will provide insights into the strategic aspects of each phase, from early diligence to post-closing integration.

Strategic Topics Include:

  • Diligence and Risk Management: A strategic look at coordinating with legal teams for seamless issue tracking, addressing risks through targeted covenants and indemnities, and leveraging R&W and tax insurance as key risk-mitigation tools.
  • Strategic Basis Planning: Explore strategic valuation and negotiation for basis step-ups and analyze structural alternatives (S corporations, partnerships, etc.) from a strategic perspective to optimize deal value.
  • Executing the Deal: Focus on the strategic moments where tax leads can influence deal structure and terms, best practices for high-level collaboration with counsel, and strategic post-closing follow-ups to maximize tax efficiency and ensure compliance.
