  • COMMUNICATIONS, TECHNOLOGY & MEDIA INDUSTRY CONFERENCE

    The Internal Revenue Service Communications, Technology & Media (CTM) Industry has again partnered with the New York Chapter of TEI for the third IRS CTM Industry Conference. This will be held in New York City on May 17, 2012.

    Industry Director Pat Chaback and members of her senior IRS team will be joined by TEI members for a full day program with discussions of examination and compliance topics (procedural and technical) significant to all LB&I taxpayers and particularly so to CTM Industry taxpayers.

    Topics will include Uncertain Tax Positions, International Developments, Section 199 Directive, R&D credits, Withholding Taxes, CAP, Quality Examination Process, Industry Issue Resolution, Issue Practice Groups, FATCA for non financial institutions, transfer pricing for IP, and ex parte appeals among other items on the agenda.

    The conference will be held at the IRS offices at 290 Broadway in lower Manhattan. The registration fee is $50 which includes breakfast and lunch.     On Thursday, May 10th, the New York Chapter's international Committee will once again be holding an all-day Intermediate International Tax Conference. While the conference is designed for more seasoned tax professionals with international tax experience, it will also serve as an excellent primer for those tax professionals with little or no international background who would like to get familiar with the hot topics in the international arena. The conference is sponsored by PwC and will be held at their midtown office located at 300 Madison Avenue at 42nd Street.  Seating at the conference will be limited and registrations will be accepted on a first come, first served basis. 7 CPE credits will be provided to attendees.   • NY CHAPTER MEETING: TAX ASPECTS OF COMMERCIAL CONTRACTS

    On Thursday, June 23rd the New York Chapter will be presenting a seminar entitled Commercial Contracts: What Tax Executives Need to Know. Panelists from the law firm Latham & Watkins LLP will focus on the day to day issues that tax executives should consider when reviewing and crafting commercial contracts. The first part will focus on merger and acquisition agreements in multinational to multinational transactions and also issues for private equity and venture funded buyer/seller transactions. The second part will be a basic overview of key contractual terms such as "representations and warranties", "delivery and acceptance", "indemnification", "limitation of liability", and "assignment" used in the following types of agreements:

    • vendor contracts;
    • sales contracts;
    • sales representative, distributor and OEM agreements;
    • independent contractor services agreements;
    • contract R&D agreements; and R&D cost sharing and collaboration agreements.
    • Intellectual property ownership or license terms will also be reviewed.
    • Specific tax issues will be discussed.  

    All of this will be addressed in the context of contractual terms and where a tax executive should be focused. This is not a discussion of complex merger and acquisition structures or tax planning techniques. Rather, it will focus on the tax issues in contracts for very common and widespread general commercial transactions and acquisitions which multinational companies have been doing for years and will presumably be doing more of as the economy rebounds.  

    A session will also focus on section 956 issues in common transactions and agreements.  

    The seminar will be held at the Westin Times Square, 270 West 43rd Street at 8th Avenue. It will run from 8:30 AM to 2 PM and will include breakfast and lunch. NYS CLE AND CPE CREDITS WILL BE GRANTED FOR THIS MEETING.  The cost is a very reasonable $75.
